1. The service
JouleCloud (operated by [Legal entity name], “we”, “us”) provides API access to hosted open-weight model inference through an OpenAI-compatible gateway. You send requests; we route them to GPUs we operate and return the model’s response. The service includes the API, the web console, and associated documentation.
2. Accounts and organizations
You access the service through an account and an organization. API keys, budgets, rate limits, and usage are scoped to your organization. You are responsible for safeguarding your keys and for all activity under your organization. Notify us promptly of any unauthorized use.
3. Fees
The service is usage-based: you pay per token at the rates posted on the pricing page at the time of use. Spend accrues against your organization budget. We may change posted rates; changes apply prospectively, not retroactively.
4. Acceptable use
Your use of the service is subject to the Acceptable Use Policy, which is part of these terms. We may suspend or throttle access that violates it.
5. Availability
The service is provided during a private preview. It is offered “as is” and “as available”, without any service-level agreement or uptime commitment. We may modify, suspend, or discontinue the service or any model at any time. Live operational state is published at /status.
6. Your content; intellectual property
You retain all rights to the prompts you submit and, as between you and us, to the completions returned to you. You grant us the limited right to process prompts and completions to operate the service (routing, inference, metering, abuse prevention). We retain all rights to the service itself. Open-weight models are used under their respective licenses.
7. Operational data; market activities
Operating a routing network generates operational and usage data — for example request volumes and timing, model and hardware utilization, routing decisions, node health and performance telemetry, and energy-price, carbon-intensity, and capacity signals observed by the network (“Service Data”). Service Data does not include the content of your prompts or completions, which is handled only as described in section 6 and the Privacy Policy.
We may aggregate, de-identify, and analyze Service Data (“Derived Data”) and use Derived Data for any lawful business purpose. You acknowledge and agree that JouleCloud and its affiliates participate, and may in the future participate, in carbon markets, energy and power markets, compute-capacity markets, and other related markets — including analysis, forecasting, procurement, hedging, trading, and the origination and monetization of environmental attributes and credits — and that those activities may be informed by Derived Data. Revenue from these activities may support the pricing of the service. They are never informed by the content of your prompts or completions. We may benefit from information derived from operating the network, and this section is intended as an express disclosure of that fact.
Nothing in the service creates an advisory, fiduciary, agency, or joint-venture relationship. We act as principal in our market activities; you have no interest in, or claim arising from, any profits or losses from them; and nothing in the service or on this site is investment, trading, or energy-market advice. 8. Disclaimer of warranties
To the maximum extent permitted by law, the service is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Model outputs are probabilistic and may be inaccurate; you are responsible for evaluating outputs before relying on them.
9. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Our aggregate liability under these terms is limited to the amounts you paid us for the service in the twelve months preceding the claim.
10. Termination
You may stop using the service at any time. We may suspend or terminate access for breach of these terms or the AUP, or upon discontinuation of the preview. On termination we will, on request, delete organization data as described in the Privacy Policy.
11. Changes to these terms
We may update these terms during the preview. Material changes will be posted on this page with a new effective date; continued use after a change constitutes acceptance.
12. Governing law
These terms are governed by the laws of [Jurisdiction], without regard to conflict-of-laws rules.
